Like RB said.. its the Device lock password. You phone must be getting locked after certain period of time. And you enter a password to unlock it. This is the same password ActiveSync/PC is asking for. If you dont remember it, you'll have to do a master reset.

Is this a corporate issued phone? maybe your network admin is using msfp or whatever to block something.
